On April 19, AmCham China hosted an event exploring the key changes of the new Company Law. Through a panel of industry experts, attendees gained valuable insights into the practical implications of the recent amendments, covering a spectrum of topics relevant to various types of companies.
Attendees gained valuable insights into considerations for determining matters to be decided by shareholders versus those delegated to directors, while the panel also addressed the implications of retaining unanimous approvals versus defaulting to the requirements outlined in the Company Law. Additionally, speakers provided perspectives on the duties, liabilities, and conflict provisions introduced by the amended Company Law, with discussions centering around their impact on decision-making processes concerning the selection of shareholder representatives and directors.
The event covered topics ranging from the composition of liquidation committees to updates on equity transfer provisions and changes to registration requirements, offering attendees a comprehensive understanding of the legal landscape under the amended Company Law, and provided practical guidance on determining the appropriate amount of capital contributions for to-be-formed enterprises, as well as addressing challenges related to capital contribution issues in existing enterprises where shareholders have not fulfilled their obligations.
